R.O.C. Taiwan Fund (the Trust) is a business trust registered with the United States Securities and Exchange Commission as a diversified, closed-end management investment company under the Investment Company Act of 1940. The Trust was formed in connection with the reorganization (the Reorganization) of The Taiwan (R.O.C.) Fund (the Fund). The Fund, which commenced operations in October 1983, was established under the laws of the Republic of China as an open-end contractual investment fund pursuant to an investment contract between International Investment Trust Company Limited and Central Trust of China, as custodian. Pursuant to the Reorganization, which was completed in May 1989, the Trust acquired the entire beneficial interest in the assets constituting the Fund.
